On November 27, 2019, the Cerro de Pasco Resources Inc. (CDPR) entered into a definitive share purchase with Volcan Compañia Minera S.A.A. and its subsidiaries, whereby CDPR will acquire all the issued shares of Oxidos de Pasco S.A.C., Empresa Administradora de Cerro S.A.C and Remediadora Ambiental S.A.C. The arm’s length transaction will provide CDPR ownership and operation of all mining and processing assets in Cerro de Pasco, Central Peru, including a precious metal leach plant and a base and precious metals concentrator.

Following multiple past extensions, the Company announced on November 2, 2020 that the Transaction had expired. Volcan, Glencore and CDPR continue to engage proactively to finalize a Transaction that is satisfactory to both parties and beneficial to the local communities.

Summary:

Oxidos de Pasco unit has reserves of oxidized ore with silver and gold contents, accumulated in stockpiles and in-situ mineral, as well as in the southern part of the Raúl Rojas open pit.

The extraction of in situ mineral, located in the southern section of Raúl Rojas open pit, has a
low stripping ratio and its extraction does not present any operational problems.

Summary:

The plant processes Cerro stockpiles with silver and gold content as well as in-situ oxides located at the edge of the south of the Raúl Rojas pit.

Construction of the oxide plant began in July 2012. The first lixiviation plant in Peru, it has a capacity of 2,500 tpd. The plant is designed for a future expansion to 4,000 tpd and is certified by the International Cyanide Management Institute.

In 2015, the oxides plant started operating at 1,150 tpd and gradually reached levels of 2,500 tpd by the month of June. During 2015, 743,000 tons of stockpiled oxides were processed, having ore grades of 0.30 g Au/MT and 11.02 oz Ag/MT.

An update of the reserves and resources of oxides was carried out in situ, for the design of its exploitation, south of the Raúl Rojas pit.

In 2018, operations began with the recovery in the southern part of in situ oxides that will feed mineral to the oxide plant in the following years.
