The Speewah Project (Fluorite and Vanadium) is held in Tivan’s 100% subsidiary, Speewah Mining Pty Ltd (SMPL).
On May 7, 2025, Tivan Limited has signed binding agreements with Sumitomo Corporation and its subsidiary, Japan Fluorite Corporation (JFC), to establish an incorporated joint venture (IJV) for the development of the Speewah Fluorite Project in the north-east of Western Australia.
The Project will be transferred to Fluorite SPV Pty Ltd, a wholly owned subsidiary of Tivan, which will serve as the IJV vehicle.
JFC may invest up to AUD 60.3 million in three tranches in exchange for a 22.5% equity stake in the IJV.
This investment is subject to approval by the Foreign Investment Review Board (FIRB) and review by the Australian Competition and Consumer Commission (ACCC).
The purpose of the restructure is to separate Fluorite and Vanadium resources, with IJV taking ownership of Fluorite deposit and Vanadium deposit remaining with SMPL.
